Eligibility

To be appointed Non-Executive Director, candidates must be a member of the Foundation Trust.  Eligibility and criteria for disqualification as a member or as a director are shown below:

All non-executive directors must be members of the Trust.

Eligibility to become a Non-Executive Director

A person may be appointed as Chair or Non-Executive Director only if they are a member of the Public Constituency. The Public Constituency is comprised of the following areas:

  • Bradford East
  • Bradford South
  • Bradford West
  • Keighley
  • Shipley
  • Rest of England and Wales (have not been treated by our Trust but live outside of the BMDC area)

    Criteria for Disqualification

    The Trust’s constitution places a number of restrictions on an individual’s ability to become or continue as a director. A person may not become or continue as a director of the Trust if:

    • they have been adjudged bankrupt or their estate has been sequestrated and in either case they have not been
      discharged;
    • they are a person in relation to whom a moratorium period under a debt relief order applies (under Part7A of the Insolvency Act 1986)
    • they have made a composition or arrangement with, or granted a trust deed for, their creditors and has not been discharged in respect of it;
    • they have within the preceding five years been convicted in the British Islands of any offence, and a sentence of imprisonment (whether suspended or not) for a period of three months or more (without the option of a fine) was imposed on them;
    • they are a person whose tenure of office as a Chair or as a member or Director of a health service body has been terminated on the grounds that their appointment is not in the interests of public service, for non-attendance at meetings, or for non-disclosure of a pecuniary interest;
    • they have within the preceding two years been dismissed, otherwise than by reason of redundancy, from any paid employment with a health service body;
    • in the case of a Non-Executive Director, they no longer satisfy paragraph 8.1.3;
    • they have failed to declare an interest as required by this Constitution or Standing Orders or, any other interest as set out in the ‘Conflicts of Interest Policy for Bradford Teaching Hospitals NHS Foundation Trust;
    • have spoken or voted at a meeting on a matter in which they have an interest contrary to this Constitution or Standing Orders, and in this Paragraph interest includes a pecuniary and a non- pecuniary interest in either case whether direct or indirect.
